Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Vaulted Labs ("we," "us," or "our") governing your use of the Countr mobile app and related services (the "App"). By downloading or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 17 years old to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or guardian who agrees to these Terms.

2. License

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download and use the App on Apple devices you own or control, for your own non-commercial use.

3. Subscriptions, billing, and trials

• Auto-renewing subscriptions. Countr offers paid subscriptions (for example, monthly and annual plans) that unlock the App's full features. Subscriptions are sold and billed through your Apple ID.
• Free trial. Where offered, a free trial converts to a paid subscription automatically when the trial ends unless you cancel at least 24 hours before the trial period ends. If you start a trial or intro offer and then purchase, any unused portion of that offer is forfeited.
• Renewal. Your subscription renews automatically at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before the period ends.
• Managing and cancelling. You can manage or cancel your subscription anytime in your device's App Store account settings. Deleting the App does not cancel your subscription.
• Pricing. Prices are shown in the App and may vary by region and over time. Any price changes will be handled in accordance with App Store rules.
• Refunds. Purchases are processed by Apple, and refunds are handled according to Apple's policies. We generally cannot grant refunds directly.

4. Acceptable use

You agree not to:

• reverse engineer, decompile, or attempt to extract the source code of the App, except where permitted by law;
• access the App's backend or APIs other than through the App, or attempt to circumvent rate limits, authentication, or other protections;
• use the App to harass, defraud, deceive, or unlawfully manipulate others;
• submit content that is illegal, infringing, or that you do not have the right to share; or
• interfere with, overload, or disrupt the App or its infrastructure.

5. Your content

You are responsible for the text, screenshots' recognized text, and other content you submit. You retain ownership of your content. You grant us a limited license to process that content solely to operate the App and generate your results, as described in our Privacy Policy.

6. AI-generated content and educational purpose

The App uses artificial intelligence to analyze text and to role-play practice conversations. AI output can be inaccurate, incomplete, or misleading, and the identification of "tactics" is an educational interpretation, not a statement of fact about any person. The App's lessons and output are provided for educational and self-improvement purposes only and are not legal, financial, medical, psychological, or other professional advice. Do not rely on the App for decisions that require a qualified professional.

7. Intellectual property

The App, including its lessons, text, design, and software, is owned by Vaulted Labs and protected by intellectual property laws. Except for the license granted above, no rights are transferred to you.

8. Disclaimers

The App is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that AI output will be accurate.

9. Limitation of liability

To the maximum extent permitted by law, Vaulted Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the App. To the maximum extent permitted by law, our total liability for any claim relating to the App will not exceed the greater of the amount you paid us for the App in the twelve months before the claim, or USD $50.

10. Indemnification

You agree to indemnify and hold harmless Vaulted Labs from any claims, damages, or expenses arising from your misuse of the App or violation of these Terms.

11. Termination

You may stop using the App at any time. We may suspend or terminate your access if you violate these Terms or misuse the service. Provisions that by their nature should survive termination (such as disclaimers, limitation of liability, and intellectual property) will survive.

12. Apple App Store terms

These Terms are between you and Vaulted Labs only, not with Apple, and Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support for the App. To the extent the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims relating to the App, including product-liability, regulatory, or intellectual-property claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list, and you agree to comply with applicable third-party usage rules.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict-of-laws rules, except where applicable consumer-protection law in your place of residence provides otherwise.
